Zozotown is Japan's largest pure-play fashion e-commerce platform, with over 11,000 brands and 12.5 million active users. Its take rate of about 30% reflects its strong value to tenants—access to Japan's largest pool of young fashion-conscious consumers, plus end-to-end fulfillment covering sizing, photography, storage, picking, packing, and returns. Two decades of user data power a recommendation algorithm driving 14%-16% conversion rates, versus a 4% industry average. We estimate Zozo holds over 50% market share in midluxury apparel e-commerce and over 20% in general apparel.

Zozo updated its fiscal 2025 guidance to include the consolidation of Lyst. Zozo now expects 2025 gross merchandise value to grow by 9.7% (organic growth of 1.5%), boosted by Lyst's projected GMV of JPY 50 billion. EBITDA guidance is trimmed by JPY 0.2 billion due to Lyst's operating losses.

After reevaluating our moat ratings for our Japanese e-commerce coverage, we upgrade our moat ratings for both LY and Zozo to wide from narrow and maintain our narrow moat rating for Mercari and no-moat rating for Rakuten. Out of the four companies, we believe LY shares have the greatest upside potential as we believe the market is underappreciating the value of future synergies between Line, Yahoo, and PayPay, which are leaders in their respective markets.

Stock Analyst Note

We slightly raise our fair value estimate for Zozo to JPY 4,900, from JPY 4,880 previously, after lifting our fiscal year 2024 (ending March 2025) profit estimates based on better cost efficiencies and higher Line Yahoo Commerce growth in the second half. We make no changes to our midterm forecasts. We are pleased with Zozo’s continuous improvement in operational and promotion efficiencies, as well as Line Yahoo Commerce’s strong growth momentum. Even if growth slows in the March quarter, we believe Zozo is likely to exceed its fiscal year 2024 operating profit guidance of JPY 64 billion. Nonetheless, we think these positives are already priced in and further upside is limited for the time being. We think the stock is currently fairly valued.

Stock Analyst Note

We raised our fair value estimate for Zozo to JPY 4,880 from JPY 4,000 based on parent company Line Yahoo's strong commitment to Zozo shop on its e-commerce platform, Yahoo Shopping. In addition, we have greater confidence in Zozo's cost control and operational improvement initiatives, which offset the increase in logistics-related costs. While Zozo’s share price has gone up by more than 50% over the past year, we believe that there is limited room for further upside for the time being, as we think that higher gross merchandise value growth prospects on Line Yahoo's commitment and further margin improvement in the medium term have already been priced in. We deem the stock fairly valued currently.
