Bruker Shares Fall on Convertible Share Offering Aimed at Debt Repayment

Bruker shares fell after the company said it was initiating a public offering of $600 million convertible preferred shares.

The stock fell 8.5% to $30.40 in after-hours trading Tuesday. At the close, shares were down 43% this year.

The offering includes 2.4 million shares in aggregate, the scientific instruments maker said Tuesday.

The Billerica, Mass. company intends to use the net proceeds to repay its term loan due in December 2026, as well as outstanding borrowing under a revolving credit agreement and a portion of its term loan due in March 2027.

Bruker plans to grant underwriters a 30-day option to purchase up to $90 million in additional stock. If underwriters exercise that option, Bruker will use those proceeds for general purposes, which could include further debt payments.
