Initiating Coverage of CoreWeave
We are initiating coverage of CoreWeave CRWV, one of the leading neoclouds, which provides Nvidia NVDA GPUs for artificial intelligence model training and inference. The company has received over $45 billion in bookings from leading AI service providers, including Microsoft, OpenAI, and Meta Platforms.
The bottom line: We assign a no-moat rating to CoreWeave, with a $97 per share fair value estimate. Despite our 63% five-year compound annual revenue growth rate forecast, CoreWeave’s return on invested capital still struggles to surpass its cost of capital, given the heavy investment pressure for more capacity.
- Our base case assumes that CoreWeave will see expanded commitment from large AI providers like Microsoft, OpenAI, and more. The company should also capture long-tail demand from other enterprises as GPU hours become affordable enough for proprietary model training.
- We give CoreWeave a Very High Uncertainty Rating. The company’s 9 times net debt/adjusted EBITDA ratio makes it one of the most leveraged technology companies. However, net debt/adjusted EBITDA should drop to 3 times by 2030, thanks to CoreWeave’s rapid growth.
- We currently view CoreWeave shares as fairly valued. Investors should be braced for the high volatility of the stock, which in turn could lead to volatility in its Morningstar Rating.
Between the lines: As of 2025, 98% of CoreWeave’s contracts are take-or-pay, meaning clients need to make fixed payments regardless of their actual capacity utilization. These deals ensure CoreWeave can access asset-level credit with an interest rate of around 9%.
- A material shift in contract structure from take-or-pay to pay-as-you-go can break CoreWeave’s financing approach. In this case, the firm would not be able to get enough infrastructure financing to support its further expansion.
- We question the maintainability of CoreWeave’s leverage in a scenario wherein long-term AI demand undershoots expectations. If the interest rate on CoreWeave’s asset-backed delayed draw term loans goes up by a few hundred basis points, its equity value can quickly go to zero.
- CoreWeave has a very close relationship with Nvidia, which led to investor scrutiny. We think both CoreWeave and Nvidia are fully committed to their partnership, which gives CoreWeave the priority to receive the latest generation of Nvidia GPUs ahead of larger cloud providers. Nvidia may view the CoreWeave platform as a reference AI infrastructure that showcases its best AI technology. And CoreWeave should continue to benefit from Nvidia’s dominance and high customer switching costs in AI as it sees rapid revenue expansion over the next decade.
