Allegiant, Sun Country Approved to Operate as Separate Carriers After Close of Deal

Allegiant and Sun Country received regulatory approval to continue operating as separate airlines after the close of their proposed deal.
With the Department of Transportation's approval, the carriers would be able to maintain their separate business models, route networks and customer experiences while working toward a single operating certificate after the close of their proposed transaction, the companies said Wednesday.
The DOT's approval satisfies the last regulatory approval-related condition to the closing of Allegiant's proposed acquisition of Sun Country, the companies said. The close of the deal remains subject to remaining conditions including the approval of shareholders from both companies. Allegiant and Sun Country each plan to hold shareholder meetings on May 8.
The companies now expect the deal to close as early as May 13.
