By P.R. Venkat

India's Sun Pharmaceutical Industries has agreed to acquire U.S.-listed healthcare company Organon & Co. for an enterprise value of $11.75 billion.

Sun Pharma has offered to pay $14.00 a share in an all-cash deal, the two companies said in a joint statement late Sunday.

The transaction has been approved by the board of directors of both companies.

The deal is subject to customary closing conditions, including receipt of required regulatory approvals and approval by Organon stockholders, they said.

The companies expect the transaction to close in early 2027.
