Robinhood to Offer $2 Billion of Convertible Senior Notes

Robinhood Markets said it intends to offer $2 billion of convertible senior notes due 2029 in a private placement.

The financial services company said it intends to grant the initial purchasers of the notes an option to buy, for settlement within a 13-day period from and including the date on which the notes are first issued, up to an additional $200 million of notes.

The notes will be senior, unsecured obligations of Robinhood, and will mature on Oct. 1, 2029, unless earlier converted, redeemed or repurchased.

The interest rate, the initial conversion rate and certain other terms of the notes will be determined at the time of pricing of the offering.

Robinhood intends to use the proceeds from the offering to repurchase some of its class A common stock, and for general corporate purposes, which may include organic growth investments, potential acquisitions and/or capital expenditures.
