KKR and Energy Capital Partners Agree Deal to Buy DCC Energy for $7.66 Billion

Energy Capital Partners and KKR & Co. agreed to buy energy sales and distribution provider DCC Energy in a deal that values the company at around 5.75 billion pounds ($7.66 billion), with shareholders potentially set to receive additional consideration depending on a sale of DCC's technology unit.

The agreement will see shareholders get a base offer of 6,525 pence a share in cash and the proposed final dividend of 147.22 pence a DCC share as previously announced.

In addition, the buyers will pay up to 125 pence a share related to the sale of Nexora, DCC's technology business.

The agreement comes after private-equity firm Energy Capital Partners and KKR made the proposal earlier this month, with DCC previously saying it would recommend the proposal if a formal offer were made. The deadline to make a formal offer or walk away had been extended to July 27.
