GE Aerospace to Buy Consolidated Precision Products for $11.75 Billion — Update

GE Aerospace has struck a deal to buy engineered castings maker Consolidated Precision Products from private investment firms Warburg Pincus and Berkshire Partners for $11.75 billion.

GE Aerospace on Tuesday said the acquisition will help the Evendale, Ohio, company meet surging demand across its commercial engines, aftermarket and defense markets.

GE Aerospace said it plans to fund the acquisition, slated to close in the second half of 2027, with $7 billion in cash on hand and the remainder in new debt, adding that the deal doesn't change its capital-allocation plans.

GE Aerospace in late July posted second-quarter results that surpassed Wall Street's expectations amid a 17% jump in orders and raised its full-year guidance across the board as its backlog topped $210 billion.

Cleveland-based Consolidated Precision Products has about 6,600 employees and makes engineered castings and sub-assemblies primarily for the commercial aerospace and defense markets.

GE Aerospace, which has been a customer of Consolidated for more than 15 years, said it expects to expand capacity, improve performance and accelerate new engine technologies for the current fleet and next-generation platforms.

GE Aerospace said it expects the acquisition will add to its adjusted per-share earnings and free cash flow in the first year, adding that it is committed to a disciplined, well-planned integration.

New York-based Warburg Pincus, which has more than $105 billion in assets under management, acquired Consolidated in 2011. Boston-based Berkshire joined as an investor in a 2019 recapitalization transaction.
