Bending Spoons to Buy Miro for $1.36 Billion

Bending Spoons agreed to acquire the digital planning platform Miro for $1.36 billion in an all cash deal.

In connection with the deal, certain Miro shareholders agreed to invest $295 million of their proceeds into newly issued Bending Spoons equity.

Together with Miro's net cash, the deal implies an equity value of $1.79 billion.

Miro has grown to around $600 million in annual recurring revenue, with nearly 90% of sales coming from business and enterprise customers. Bending Spoons plans to invest in Miro's performance, reliability and functionality.

The company has nearly 4 million paying users, including 750 customers who contribute more than $100,000 in annual recurring revenue.

Bending Spoons, an Italian conglomerate that specializes in acquiring digital products, went public in July. It completed a $1.28 billion acquisition of Airtable last week.

The Miro deal has been approved by both companies' boards and is awaiting regulatory approval.

The transaction is expected to close in the fourth quarter.
