Company Report

With Paramount Settlement in Place, Warner Bros. Discovery Should Be Acquired Imminently

Warner Bros. Discovery has agreed to be taken over by Paramount, and we expect the deal to secure regulatory approval and be completed. If the deal falls through, we think Netflix would reenter the fray and look to acquire Warner’s streaming and studios businesses, though at a materially lower price than the $27.75 it previously offered. Either way, we think Warner is unlikely to stay completely independent. If it did, however, we think streaming and studios have a promising future, while global networks face perpetual decline.

Bulls Say, Bears Say

Bulls

Warner’s intellectual property and production studios can create value under any business model, and the variety of distribution channels the firm has is an asset in satisfying customers as the industry evolves.

Bears

Without a broadcast network or football rights, Warner Bros. linear networks aren’t as critical for pay TV distributors and will face increasing pressure as linear TV subscriptions continue to decline.

Company Profile

Warner Bros. Discovery operates in three segments: streaming, studios, and linear networks. The streaming business includes HBO Max, which is rapidly increasing its international footprint in addition to its major presence in the US. Studios include industry leaders in both film and television, which produce movies and television series that are monetized in multiple ways, including theatrical release, sales to third parties, and feeding into Warner’s own platforms. Global networks consist of basic cable networks like CNN, TNT, TBS, Discovery, HGTV, and The Food Network. The Discovery+ streaming service will remain part of global networks.
